Terms of Use
The agreement between you and us when you use Billbana — a free service, provided as is. Written to be read: plain language, no defined-terms schedule.
Last updated:
1. This agreement
These terms are an agreement between you and Intelliob Technologies (“we”, “us”), which operates Billbana. By creating an account or using the service, you accept them. If you do not accept them, please do not use Billbana.
Our Privacy Policy, Disclaimer, Cookie Policy and Pricing & Refunds page form part of this agreement. Please read the Disclaimer in particular — it sets out what Billbana is and is not.
2. Who may use Billbana
You may use Billbana if you are at least 18 years old and able to enter into a binding contract under Indian law. If you are using Billbana for an organisation, you confirm you are authorised to accept these terms on its behalf.
Billbana is designed for business billing in India. You may use it from elsewhere, but the service, its tax handling and these terms are built around Indian requirements.
3. Your account
You need an account to use Billbana. You must give a real email address that you control, and you must verify it — until you do, the account cannot be used.
Keep your password to yourself. You are responsible for everything done through your account. Tell us at support@intelliob.com as soon as you suspect someone else has access to it.
One account is intended for one business. Please do not share a login between people who should have separate accounts.
4. Billbana is free
Billbana is provided free of charge. There is no subscription, no trial that converts into a charge, and no payment details are collected. Because you pay nothing, there is no service level, no guaranteed availability and no support commitment — we help when we can.
Because it is free, there is nothing to cancel and nothing to refund. Billbana may not stay free for ever: how charges could be introduced, and the notice you will get first, are set out in Free service; changes and discontinuation below. See also Pricing & Refunds.
We may set limits to keep the service working for everyone — for example on how many invoices can be opened or downloaded in a minute or a day.
5. Free service; changes and discontinuation
Billbana is currently provided free of charge. At any time we may introduce charges for all or part of the service, change or remove features, or suspend or discontinue the service.
Where reasonably practicable, we will give you at least 30 days’ notice by email, in the app, or both, before any charge applies to you and before the service is discontinued.
During that notice period you will be able to export your data — your invoices, estimates, customers and items — from Settings → Account → Your data. We will not charge you for keeping or accessing the data you already hold in Billbana without your agreement.
The service is provided “as is”. To the maximum extent permitted by law, Intelliob Technologies is not liable for any loss arising from a change to the service, the introduction of charges, or the suspension or discontinuation of the service.
6. Your data is yours — and so are your backups
Everything you enter — your business details, customers, products, services and invoices — belongs to you. We claim no ownership of it. We store and process it to run the service for you, as described in the Privacy Policy.
You are responsible for the accuracy of what you enter, and for having a proper basis to hold your customers’ information. Billbana reproduces what you type; it does not verify a GSTIN with the GST Network, confirm an address, or check that a rate or tax figure is the right one for your transaction.
Keeping backups is your responsibility. Billbana is not a records-retention or archiving service, and we do not promise that your data will always be available or recoverable. Download your data regularly from Settings → Account → Your data → Download my data (a spreadsheet copy of everything), and keep PDFs of every invoice you issue. Indian tax law may require you to keep invoices for several years; that obligation is yours.
7. Tax and legal compliance is yours
This is the most important clause in these terms. Billbana is software that helps you produce an invoice. It is not tax, accounting or legal advice, and using it does not make a document compliant with any law.
You alone are responsible for:
- the accuracy of every invoice you issue, and whether it meets the requirements of the GST law or any other law that applies to you;
- the correctness of every GSTIN, PAN, HSN or SAC code, tax rate, place of supply, amount and description you enter, and of the tax Billbana calculates from them;
- your registrations, returns, filings, e-invoicing and e-way bill obligations, record-keeping and payment of tax; and
- obtaining advice from a qualified chartered accountant, tax practitioner or lawyer.
Check every invoice before you send it. Please read the Disclaimer in full.
8. Acceptable use
Use Billbana for lawful business billing. Please do not:
- create false, fraudulent or misleading invoices, or use Billbana to help anyone evade tax;
- impersonate another business, or issue invoices in a name you are not entitled to use;
- upload anything unlawful, or any content you do not have the right to use — including logos and signatures;
- enter another person’s information where you have no proper basis to hold it;
- attempt to access another user’s data, probe or interfere with our systems, or get around any security or rate limit;
- scrape, copy or resell the service, or use automated means to create accounts; or
- upload malware, or do anything that could damage or overload the service.
9. Our intellectual property
Billbana — the software, the site, the name, the logo and the design — belongs to Intelliob Technologies and is protected by law. Using the service does not transfer any of it to you. You may not copy, modify, reverse-engineer, or create a derivative service from it.
The invoices you generate are yours to use however you wish. A short credit line appears on the generated document.
10. No warranties: provided “as is” and “as available”
Billbana is provided “as is” and “as available”, with all faults and without warranty of any kind. To the maximum extent permitted by law, we disclaim all warranties, conditions and representations, whether express, implied or statutory — including any as to merchantability, satisfactory quality, fitness for a particular purpose, accuracy, completeness, title and non-infringement.
In particular, we do not warrant that Billbana will be uninterrupted, timely, secure or error-free; that its calculations, tax splits, amounts in words or documents will be correct or compliant; that any data will be preserved or recoverable; or that defects will be corrected.
11. Availability and maintenance
We may impose or change limits and take the service down for maintenance at any time, with or without notice. Introducing charges and discontinuing the service are covered by Free service; changes and discontinuation above.
Billbana depends on third-party infrastructure — listed in the Privacy Policy — and an outage at one of those providers may affect the service.
12. Closing your account, and when we may close it
You may stop using Billbana at any time. You can delete your account and all of its data yourself from Settings → Account → Your data → Delete my account. Download your data first — deletion is permanent and cannot be undone.
We may suspend or close any account, or refuse service to anyone, at our discretion — including where an account breaches these terms (particularly the acceptable-use clause), appears to be used for fraud, or where we are required to by law.
13. Limitation of liability
Billbana is provided to you free of charge. To the maximum extent permitted by applicable law, Intelliob Technologies, and its directors, employees, contractors and service providers, will have no liability to you or anyone else, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss or damage of any kind arising out of or in connection with Billbana or these terms — including direct, indirect, incidental, special, consequential or punitive loss; loss of profit, revenue, business, contracts, goodwill or anticipated savings; loss or corruption of data; and any tax demand, penalty, interest, fee or other liability arising from an invoice, a calculation, or anything you entered or decided.
If, despite the above, we are found liable for anything, our total aggregate liability for all claims is limited to the total fees you paid us for Billbana in the twelve months before the claim arose — which, because Billbana is free, is nil.
Nothing in these terms excludes or limits any liability that cannot be excluded or limited under Indian law — for example liability for fraud — and nothing here affects any statutory right you have that cannot be contracted out of. Where the law limits how far liability can be excluded, our liability is excluded and limited to the fullest extent the law allows.
14. Your indemnity to us
You agree to defend, indemnify and hold harmless Intelliob Technologies and its directors, employees and contractors from and against any claim, demand, proceeding, loss, liability, damage, penalty, cost and expense (including reasonable legal fees) arising out of or related to:
- your use of Billbana;
- any invoice or other document you create or issue with it, and any data or content you enter or upload;
- your breach of these terms; or
- your breach of any law or of anyone else’s rights.
15. Governing law and disputes
These terms, and any dispute arising out of them or out of your use of Billbana, are governed by the laws of India. Subject to the next paragraph, the courts at Mumbai, India have exclusive jurisdiction.
Before starting proceedings, please write to us at info@intelliob.com. Most problems are quicker to resolve by email than in court. Nothing here limits any right you may have under law to approach a consumer commission or other authority that has jurisdiction over the matter.
16. Changes to these terms, and how to reach us
We may update these terms at any time. The date at the top shows when the current version took effect. Continuing to use Billbana after a change means you accept the updated terms; if you do not accept them, stop using Billbana and delete your account.
If any part of these terms is found unenforceable, it is enforced to the maximum extent permitted and the rest continues to apply. Our not enforcing a term is not a waiver of it.
Billbana is operated by Intelliob Technologies. Write to us at info@intelliob.com, or for help using the service at support@intelliob.com. See our Contact page.
